
Biography
ANDREW ADAIR’s practice focuses on representation of issuers, FinTech companies, private equity funds, specialty credit funds, banks, real estate investment trusts, insurance companies, corporate borrowers, alternative asset funds, and others in a wide variety of structured, asset securitization, warehouse, forward flow purchase, secured lending, special situations, and other commercial finance transactions. Acquisitions and financings of personal loans, debt settlement loans, point-of sale consumer loans, small business loans, residential mortgage loans, and other receivables comprise a significant portion of his practice.
While in law school, Andrew served as a Schiff Hardin Facilitator for the inaugural Kapnick Leadership Development Initiative and as a comment editor for the University of Chicago Legal Forum. He was a recipient of the “Donald E. Egan Scholar Award,” the “Ann Watson Barber Outstanding Service Award,” and the “Thomas R. Mulroy Prize for Excellence in Appellate Advocacy.” Before joining Sidley, Andrew served as a Public Interest Law Initiative (PILI) Fellow at the University of Chicago’s Abrams Environmental Law Clinic, and previously worked as a policy advisor in the U.S. Senate.

- Insurance companies, private equity funds and other investment funds as whole loan purchasers and borrowers in acquisitions and warehouse financings involving small business loans, personal loans, debt settlement loans, point-of-sale consumer loans, recreational vehicle loans and other financial assets.
- Real estate investment trusts and other sponsors as borrowers in acquisitions and warehouse financings, including via repurchase agreements, involving residential mortgage loans.
- FinTech companies as whole loan sellers in sales involving small business loans, personal loans and debt settlement loans.
- Private equity funds, banks, real estate investment trusts and other investment funds in portfolio acquisitions, acquisition financings, warehouse financings and securitizations involving infrastructure finance, middle market and other commercial loans.
- Banks, insurance companies, specialty credit funds and other investment funds as lenders in warehouse financings, including via repurchase agreements, involving residential mortgage loans, personal loans, debt settlement loans, small business loans, iBuyer assets, single-family rental homes, residential mortgage loans, auto loans and other assets.
- FinTech companies, private equity funds and insurance companies as borrowers and issuers in warehouse financings and securitizations involving personal loans, debt settlement loans, small business loans, railcars and iBuyer assets.
- A reverse mortgage servicer and certain of its subsidiaries in Chapter 11 bankruptcy cases in U.S. Bankruptcy Court.
- Banks as underwriters in rated securitizations involving single-family rental homes, consumer loans and auto loans.
- Lenders, agents, arrangers, sponsors and borrowers in single-bank, club and syndicated credit facilities, as well as merger and acquisition financings, private equity sponsor financings, restructurings and secured and unsecured single currency, multi-currency, ABL, first lien and second lien and cross-border lending transactions.

Andrew maintains an active pro bono practice. Representative transactions include representation of the following:
- International NGOs as borrowers in working capital facilities, development finance institution guaranteed debt facilities and other financing matters.
- Local not-for-profit organizations in various financing and real estate matters.
- Asylum seekers in affirmative application and adjustment of status matters.
