Alessandra Moroni

ALESSANDRA MORONI advises and represents companies, governments, and trade associations on a wide range of EU and international trade and investment law matters, with particular focus on:

• Investment screening, regularly assisting clients identifying and mitigating investment screening risks in complex international transactions, managing multi-jurisdictional investment screening reviews and filings in the EU and globally, and providing relevant transactional support.
• Subsidy controls (under the EU’s Anti-Subsidy Regulation and Foreign Subsidies Regulation) and other trade defense instruments (anti-dumping and safeguard measures), assisting clients in investigations before the European Commission, and other procedures in the EU.
• Export controls and sanctions, assisting clients with strategic compliance issues, including by requesting licenses before competent authorities in the EU, conducting internal investigations, developing compliance policies, conducting transactional due diligence, and advising on compliance enhancements. Most recently, Alessandra has been advising on Russia-related sanctions.
• Other trade matters, including supply chain due diligence and reporting requirements, forced labor, general market access opportunities, and compliance of trade measures with EU and WTO rules.

Alessandra has been recognized in Who’s Who Legal as a “recommended practitioner” for both Foreign Investment Control (2024) and Trade & Customs (2024).

Prior to joining Sidley, Alessandra worked at international law firms in Milan, Hong Kong, and Beijing, advising clients on international business transactions and regulatory compliance. She also gained academic experience as a teaching assistant at Università Commerciale L. Bocconi (Milan) and as an editor of various law journals, including the Cambridge Law Review and Bocconi Legal Papers.

Alessandra holds an LL.M. from the University of Cambridge and has previously studied in Italy and Spain. She is fluent in Italian and English, and has good knowledge of Spanish and French.

• Pepper Advantage, a leading international credit management and technology firm backed by J.C. Flowers & Co., on its pending acquisition of Computer Loan Services.
• Sidley Represents Newfold Digital in the investment screening aspects of the Sale of Markmonitor.
• Arsenal Capital Partners in the foreign direct investment screening aspects of its sale of Applied Products.

The acquisition was named “Private Equity Deal of the Year” at The Deal Awards 2022.
• Newfold Digital in the investment screening and trade controls aspects of its acquisition of YITH, an independent seller and developer of WooCommerce plugins and themes for WordPress, a free and open-source content management system.
• KKR in the investment screening and trade controls aspects of its majority acquisition of Biosynth Carbosynth, a Swiss life sciences reagents and custom synthesis and manufacturing services company.
• Confluence Technologies, Inc. in the investment screening and trade controls aspects of its US$500 million acquisition of Investment Metrics, a major provider of investment data, performance, analytics, and research software solutions.
• Affiliates in the investment screening and trade controls aspects of WCAS and Managed Market Insights & Technology in connection with MMIT’s US$1.6 billion merger with Evaluate.
• Magna International Inc. in the investment screening and trade controls aspects of its US$3.8 billion acquisition of Veoneer, Inc., a provider of state-of-the-art software, hardware, and systems for occupant protection, ADAS, and collaborative and automated driving to OEMs globally.
• Clearlake Capital Group, L.P. in the investment screening and trade controls aspects of its proposed US$5.2 billion acquisition of Cornerstone OnDemand, Inc., a global leader in talent management software.
• Clearlake Capital in the investment screening and trade controls aspects of its significant equity investment in RSA Security LLC, a global provider of mission critical cybersecurity software and governance risk and compliance management software.
• KKR in the investment screening and trade controls aspects of its investment in Nordic Bioscience, a Danish biomarker development company.
• Clearlake Capital Group, L.P. in the investment screening and trade controls aspects of its acquisition of Precisely together with TA Associates.
• Cubic Corporation in the investment screening and trade controls aspects of its acquisition by Veritas Capital and Evergreen Coast Capital for an enterprise value of US$2.8 billion.
• Arvelle Therapeutics, a Swiss-based biopharmaceutical company, in the investment screening and trade controls aspects of its sale to Angelini Pharma for a total cash consideration of up to US$960 million.

Alessandra provides pro bono assistance through Sidley’s Trade for Development Initiative and Emerging Enterprises Pro Bono Program, which provides free legal and technical advice to least developed and low-income developing countries, trade associations, small- and medium-size for-profit enterprises, and market-focused, non-governmental organizations in areas related to trade, investment, and relevant regulations.

For instance, as part of Sidley’s Trade for Development Initiative, Alessandra advised Bangladesh Garment Manufacturers and Exporters Association (BGMEA) on preserving preferential access to the EU market via the EU Generalized Scheme of Preferences (GSP).
