
Biography
FRASER TUDOR has a broad UK and cross-border tax advisory and transactional practice.
He regularly acts for financial institutions, multinational groups, and private equity sponsors, and has experience in public and private M&A, debt financing, structured financing and securitisations, private fund formation, and secondary and restructuring transactions, as well as employee benefits and executive compensation.
Fraser trained and qualified as a solicitor in Sidley’s London office, where he also gained experience in the firm’s investment funds, real estate finance, M&A and private equity practices.

Fraser’s recent experience includes advising:
- Advised Permira on the financing of its £2.3 billion recommended cash offer for JTC plc.
- Affinity Partners as part of an investor consortium, along with PIF and Silver Lake, in an all-cash acquisition of Electronic Arts Inc., a global leader in digital interactive entertainment, with an enterprise value of approximately US$55 billion. The acquisition was described by the Financial Times as “the biggest-ever leveraged buyout.”
- Aspen Insurance in its acquisition by Sompo Holdings for US$3.5 billion (pending).
- Apollo-managed funds in their acquisition of a majority stake in Kelvion, a leading global provider of energy-efficient heat exchange and cooling solutions, from funds advised by Triton Partners.
- Adevinta, a leading European online classifieds group backed by a consortium of shareholders including Blackstone and Permira, on financing arrangements to refinance its existing debt facilities and facilitate a distribution to shareholders.
- Golden Goose S.p.A, a portfolio company of Permira, on tax matters in connection with the issuance of €480 million in euro senior secured floating rate notes due 2031 and related €100 million revolving credit facility.
- Evri, a portfolio company of funds managed by affiliates of Apollo Global Management, Inc., in its merger with DHL eCommerce, the e-commerce logistics specialist of DHL Group.
- Aspen Insurance Holdings Limited on its US$397.5 million upsized initial public offering.
- World Sevens Football in connection with the creation and launch of new global 7-on-7 women’s soccer competition series.
- Grain & Protein Technologies, a portfolio company of American Industrial Partners, in the cross-border carve-out acquisition of the agribusiness equipment operations of Munters FoodTech.
- Ryan Specialty in its acquisition of Innovisk.
- Great Hill Partners on the sale of BigChange, a leading field service management software company, to Simpro Group.
- Apollo on the acquisition of Evri, one of the UK’s largest parcel delivery companies, from Advent International.
- American Industrial Partners (AIP) on its US$700 million acquisition of the Grain & Protein business of AGCO Corporation (NYSE: AGCO), a large precision agriculture technology and machinery company.
- Great Hill Partners on its pending strategic majority investment in a newly formed organisation comprising Vivup, a leading provider of health and well-being benefits, and Perkbox, an award-winning global benefits and reward platform, which will combine to offer a market-leading solution for the UK’s public and private employee benefits sectors.
- Pictet Alternative Advisors in its acquisition and financing of Technology Services Group Limited.
- HeadFirst Global on its recommended offer to acquire AIM-listed Impellam Group for approx. £483.2 million.
- Macquarie Asset Management on its clients’ investment in £400 million in notes related to a portfolio of commercial ground leases. In this innovative transaction, the notes are secured against a portfolio of 55 ASDA supermarket sites across the UK.
- Houlihan Lokey, Inc. in its acquisition of Triago Management Development.
- Clearlake Capital Group, L.P. in its US$4.4 billion take-private acquisition of Alteryx, Inc.
- Ashtead Technology in its Acquisition of ACE Winches.
- Savillex Corporation, a portfolio company of private equity fund Thompson Street Capital Partners, in its strategic acquisition of ONFAB from Foresight Capital Partners.
- Pictet Alternative Advisors in its Acquisition of Pareto FM.
- Stonepeak, a leading alternative investment firm specializing in infrastructure and real assets with approximately US$57.1 billion of assets under management, on its strategic, preferred investment into AGP Sustainable Real Assets, a Singapore-based global infrastructure and real assets developer and operator.
- BCM One, a portfolio company of Thompson Street Capital Partners, in its acquisition of Pure IP, a global provider of cloud-based voice services via Microsoft Teams, Cisco Webex, and Zoom.
- Gamma Biosciences, a life sciences platform created by global investment firm KKR, in the divestiture of its operating company Univercells Technologies, a leading provider of novel biomanufacturing technologies for flexible and scalable advanced therapies and vaccine production, to Donaldson Company, Inc (NYSE: DCI).
- MML Capital, a leading international alternatives firm, in connection with strategic investments from Capital Constellation (advised by Wafra) and Investcorp Strategic Capital Group.
- Recharge Industries, a portfolio company of Scale Facilitation, on its acquisition of Britishvolt Limited.
- Westfield in its acquisition of the Lloyd’s operations of Argo Group, including Argo’s Lloyd’s managing agency and Argo’s members supporting Syndicate 1200.
- Professional Fighters League (PFL) in the sale of a minority ownership stake to SRJ Sports Investments, the sports-focused fund recently launched by Saudi Arabia’s Public Investment Fund (PIF).
- One Equity Partners and Buckthorn Partners in connection with their acquisition of Amey UK plc from Ferrovial.
- Housatonic Partners in connection with its significant growth investment in Key Media, a global leader in B2B media.
- Clearlake Capital Group, L.P., in its acquisition of Chelsea Football Club and related affiliates in a consortium co-led with Todd Boehly, Chairman and CEO of Eldridge. The acquisition was named “Private Equity Deal of the Year” at The Deal Awards 2022.
- Newfold Digital on its acquisition of Yoast B.V., the leading search engine optimization plugin provider for WordPress.
