SEC Climate Change Comment Letters Signal Early Action on Environmental, Social, and Governmental Disclosures

On September 22, the U.S. Securities and Exchange Commission (SEC) released a Sample Letter to Companies Regarding Climate Change Disclosure. The letter illustrates the type of comments the SEC’s Division of Corporation Finance has been issuing to companies asking detailed and specific questions regarding climate-related disclosure or the absence of such disclosure in companies’ recent Form 10-Ks. The SEC last provided guidance regarding climate change disclosure requirements in 2010, and new rules are expected in the near future. Companies and investors should take note of this recent SEC development.
