Sidley Advises on Brazil Potash’s US$30 Million Cross-Border IPO

Sidley represented the underwriters in the US$30 million initial public offering by Brazil Potash Corp. (NYSEAMERICAN:GRO), an exploration and development company with a potash mining project located in the state of Amazonas, Brazil. Cantor Fitzgerald & Co. and Banco Bradesco BBI S.A. acted as representatives of the underwriters, and Roth Capital Partners, LLC, Clarksons Securities, Inc., and Freedom Capital Markets were underwriters.
The deal team was led by Sam Gandhi and Dan O'Shea, and included Kostian Ciko, Kunchok Yaklha, and Jenn Lin; Ben Nager (Investment Funds); Correy Perry and Richard Schneider (Employee Benefits and Executive Compensation); and Nick Brown and Alvin Wang (Tax).
