RYAN POWER advises on UK and cross-border tax matters for private equity sponsors, financial institutions, and public and private companies.

He regularly advises on private equity and M&A transactions, debt and leveraged finance, structured finance, and management incentive structures.

Ryan has been recognised as a “Rising Star” in General Corporate Tax by ITR World Tax Europe (2027).

Ryan trained and qualified as a solicitor in Sidley’s London office, as part of which he spent time on secondment in the tax department at an international private equity fund. Prior to joining Sidley, he completed the MSc in Taxation at the University of Oxford where he was awarded a distinction.

• Clearlake Capital Group, L.P. and Chelsea Football Club in ownership transition.
  
• Ridgeview Partners in its £545 million acquisition of Pinewood Technologies.
• MSA Safety Incorporated (NYSE: MSA), a global leader in the development of advanced industrial safety technology products and solutions that protect people and facility infrastructure, in its US$555 million acquisition of Autronica Fire and Security from Sentinel Capital Partners.
• Siris Capital in its US$4.2 billion sale of Equiniti to Bullish (NYSE: BLSH).
• The senior lender group in connection with the senior secured financing of nLighten, a pan-European data centre platform backed by I Squared Capital, to fund its expansion across the UK.
• Verdane, a European investment firm, in its agreement to partner with Smartbox Assistive Technology Group.
• FAS Group on the acquisition of FAS Renewables and its 100%-owned subsidiary, Zahra Energy, by I Squared Capital, a leading global infrastructure investment firm.
• Clara Vista Partners and Portman Holdings LLC on the tax aspects of its majority investment in Ipswich Town Football Club.
• The senior lenders on Xpansiv’s acquisition of Evident, the global Renewable Energy Certificates (RECs) network provider.
• Pepper Advantage, a leading international credit management and technology firm backed by J.C. Flowers & Co., on the tax aspects of its acquisition of Computer Loan Services.
• SINGU, a leading European provider of commercial real estate management software, on the strategic investment by K1 Investment Management, LLC, and combination with Micad.
