Biography

JON ZUCKER is a healthcare lawyer who works with clients and investors to structure and negotiate sophisticated transactions and address complex regulatory challenges. He frequently serves as healthcare regulatory counsel for major acquisitions, mergers, joint ventures, strategic affiliations, and other arrangements. He is also regularly engaged on behalf of private equity sponsors and their portfolio companies operating in the healthcare industry.

Jon was named to Law360’s 2025 “Rising Stars” list for his work in healthcare and was recognized as “One to Watch” in health care law in the 2024 and 2025 editions of Best Lawyers. His deep knowledge of the complex healthcare regulatory landscape as well as his background in economics make him a valued partner to clients in structuring arrangements designed to achieve business goals while minimizing regulatory risk.

Jon advises clients on a broad range of health-related issues, including the Anti-Kickback Statute, the Stark Law, the False Claims Act, the No Surprises Act, corporate practice of medicine requirements, state and federal licensure issues, telehealth, coding/billing/reimbursement, and related federal and state regulatory issues.

Jon graduated from the University of Pennsylvania Law School, where he served as the Bluebook Editor/Board Member for the University of Pennsylvania Law Review. Prior to attending law school, Jon received a bachelor of science degree from Brown University, graduating magna cum laude, Sigma Xi, with concentrations in Economics and Neuroscience.

  • Representation of private equity client in the acquisition of a non-controlling stake in the management services organization for a large multispecialty group practice
  • Representation of private equity client in acquisition of management company focused on the veterinary space
  • Representation of clients in negotiating stock warrant and other equity arrangements with start-up tech companies
  • Representation of physician practice in asset sale of ancillary service line to private-equity backed provider group

Representative Counseling

  • Advise investor clients regarding degrees of regulatory risk related to investments in healthcare space, including in providers, manufacturers (both pharmaceutical and device), and tech/software
  • Advise corporate and investor clients regarding compliance with corporate practice of medicine restrictions
  • Assist clients in obtaining fair market value support for arrangements with healthcare providers
  • Represent healthcare providers with respect to submissions under OIG and CMS self-disclosure protocols
  • Conduct compliance program assessments for healthcare clients to create or augment their healthcare compliance programs
  • Advise national pharmacy chain on issues related to Medicaid “usual and customary” requirements

Community Involvement

Pro Bono

Jon also maintains an active pro bono practice. His pro bono projects have included assisting a client apply for asylum in the United States, representing a client in step-parent adoption proceedings and providing advice regarding family law issues, including domestic violence and custody situations.

Jon is part of a team that was recognized by Public Counsel with a 2019 Pro Bono Award for their work in Ms. J.P. v. Barr.
