JON ZUCKER is a healthcare regulatory and transactional lawyer who advises clients and investors on structuring, negotiating, and closing sophisticated healthcare deals and addressing complex regulatory challenges. He frequently serves as lead regulatory counsel for major acquisitions, mergers, joint ventures, strategic affiliations, and other arrangements. Jon brings both deep regulatory knowledge and a commercial, economics-trained perspective to every matter. He is a trusted advisor to private equity sponsors and their portfolio companies, as well as to both large strategic and start-up/venture clients navigating complex deals and regulatory challenges across the healthcare industry.

Jon advises clients on how key regulatory frameworks affect deal structure, valuation, and risk allocation and returns, both within and outside of the transaction process, including matters related to the Anti-Kickback Statute, the Stark Law, the False Claims Act, the No Surprises Act, corporate practice of medicine requirements, state and federal licensure, telehealth, coding/billing/reimbursement, and related federal and state regulatory issues. He also advises clients on the growing body of state healthcare transaction review laws reshaping how private equity and other investors approach healthcare acquisitions nationwide.

Jon graduated from the University of Pennsylvania Law School, where he served as the Bluebook editor and board member for the University of Pennsylvania Law Review. He holds a Master of Bioethics from the University of Pennsylvania alongside his J.D., giving him substantive grounding in the ethical and policy dimensions increasingly central to digital health, AI in healthcare, and life sciences investment. Prior to attending law school, Jon received his Bachelor of Science degree from Brown University, graduating magna cum laude, with concentrations in economics and neuroscience.

  • Acquisition of EyeSouth Partners’ retina business, in a transaction valued at approximately US$1.1 billion.

• Danaher Corporation (NYSE:DHR), a global science and technology innovator, in its acquisition of Masimo Corporation, a leading specialty diagnostics provider of patient monitoring solutions.
• Clearlake Capital Group in its majority growth investment in ModMed, a leader in specialty-specific healthcare SaaS technology, acquired from Warburg Pincus.
• Arsenal Capital Partners and MaxHealth, in the sale of MaxHealth to CenterWell, the healthcare services division of Humana Inc.

Representative Counseling

• Advises investor clients regarding degrees of regulatory risk related to investments in healthcare space, including in providers, manufacturers (both pharmaceutical and device), and tech/software.
• Advises corporate and investor clients regarding compliance with corporate practice of medicine restrictions.
• Assists clients in obtaining fair market value support for arrangements with healthcare providers.
• Represents healthcare providers with respect to submissions under OIG and CMS self-disclosure protocols.
• Conducts compliance program assessments for healthcare clients to create or augment their healthcare compliance programs.
• Advised national pharmacy chain on issues related to Medicaid “usual and customary” requirements.

Representative Litigation

• Texas Medical Association (TMA) in its successful challenge to federal regulations implementing the No Surprise Act, resulting in an en banc Fifth Circuit ruling that vacated two regulations governing the calculation underlying the statute’s dispute-resolution framework.

Jon also maintains an active pro bono practice. His pro bono projects have included assisting a client apply for asylum in the United States, representing a client in step-parent adoption proceedings and providing advice regarding family law issues, including domestic violence and custody situations.

Jon is part of a team that was recognized by Public Counsel with a 2019 Pro Bono Award for their work in Ms. J.P. v. Barr.
