Biography

QALID MOHAMED’s practice focuses on advising financial market participants on a wide range of UK and EU regulatory matters. He regularly advises investment managers on structuring and marketing of alternative investment funds, on matters relating to UK and EU sustainable finance (including UK SDR, EU SFDR, and EU Taxonomy), and on the regulatory regimes governing trading of securities and other financial instruments (MiFID II, MAR, Short Selling Regulation, EMIR).

Qalid has significant experience in the area of prudential regulation, and regularly advises financial institutions on their regulatory capital and liquidity requirements, on governance and remuneration requirements, and on group and capital structuring in an M&A and corporate reorganization context.

Prior to joining Sidley, Qalid practiced in the London office of an international law firm. During this time, Qalid completed a secondment to a leading global investment bank, where he advised on various aspects of the bank’s post-Brexit regulatory structure, with a particular focus on perimeter issues relating to the cross-border provision of investment services into the EU.

Qalid is a frequent participant in industry conferences and events on topics related to financial services regulation. He has published several articles and book chapters on financial regulation, including with Thomson Reuters, LexisNexis, and Edward Elgar.

He is a social mobility ambassador for the Law Society of England and Wales; a Churchill Fellow (researching the use of technology (in particular AI and gamification) as a means of advancing financial education in UK schools); and a former trustee of the legal charity, Public Law Project. Qalid recently completed a Master’s in Law and Finance (with a focus on Finance) at the University of Oxford, where he was an All Souls/Merton College scholar.

Representative Matters

Recent representative matters include:

  • Advising a global investment firm on its joint venture with a global sovereign investor to invest in, and secure the supply of, strategic metals and minerals.
  • Advising One Equity Partners and Buckthorn Partners on their Acquisition of Acteon Group.
  • Advising Travelex on its financial and operational restructuring.
  • Advising Macquarie Capital on its investment in Aryza, a provider of case management and process automation software for regulated industries.
  • Advising on the implementation of the UK Investment Firms Prudential Regime (IFPR), including in relation to remuneration requirements, regulatory capital and liquidity requirements, prudential consolidation, and the Internal Capital Adequacy and Risk Assessment (ICARA).
  • Advising on the new UK/EU regulatory framework for sustainable finance/ESG, including the EU Corporate Sustainability Reporting Directive (CSRD), and the UK TCFD-aligned climate disclosure regime.
  • Advising financial institutions on their post- Brexit operations and the implications of Brexit from a wider strategic perspective.
  • Advising a global investment fund trade association and its members on various aspects of UK/EU financial services policy and regulation, including in relation to the development of the EU Investment Firms Directive/Regulation, and more recently on UK/EU financial regulatory divergence.
  • Advising on regulatory aspects of M&A, financing, and restructuring transactions.
  • Establishing investment managers and securities firms/broker-dealers in the UK under the UK Financial Services and Markets Act 2000 and providing ongoing regulatory and compliance advice.
  • Advising on other general UK/EU financial services legislation including MiFID II, AIFMD, UCITS Directive, Market Abuse Regulation, Short Selling Regulation, Transparency Directive, EMIR, and SFTR.
