Our leading private equity team in Asia, the United States, and Europe has the international platform, experience and resources to provide highly effective cross-border services to the world’s largest private equity firms. Our team provides a full spectrum of services spanning fund formation, M&A and exits. We have advised on over 170 private equity M&A transactions since 2005.

Our Private Equity lawyers in China represent clients on every aspect of a broad range of domestic and cross-border private equity transactions, including leveraged buyouts, going-private transactions, growth capital investments, venture capital investments, PIPEs and a variety of other acquisitions and financings. We represent private equity sponsors, the private equity arms of financial institutions and other organizations, and hedge funds in these matters. In addition, we regularly advise private equity sponsored portfolio companies, assisting them in all their legal needs, including add-on acquisitions, financings, recapitalizations, investments, liquidity events and other extraordinary transactions.

We are uniquely positioned to provide our private equity clients with a “one-stop shopping” approach to all legal needs that may arise in connection with a transaction. For instance, in addition to advising clients on the M&A and equity structuring components of any private equity transaction, our lawyers in China are also able to handle the financing, securities, insolvency, tax, benefits and employment, antitrust, environmental and other regulatory issues that arise.

In addition to representing clients in leveraged buyouts and private equity investments, our M&A lawyers in each of our three China offices handle a broad variety of other M&A transactions, including “going private” transactions, public company acquisitions and “mergers-of-equals” (including the representation of special committees of independent directors), corporate separations (spin-offs), tender offers, negotiated and unsolicited transactions, auctions, proxy solicitations, joint ventures, transactions involving “troubled” companies and various forms of related financings.
