Represented Geotab, a global leader in connected vehicle and asset management solutions, in its acquisition of the commercial operations of Verizon Connect’s telematics business in Australia, the United Kingdom, Ireland, Italy, France, Portugal, Poland, the Netherlands, and Germany.
Represented Evri, a portfolio company of funds managed by affiliates of Apollo Global Management, Inc. (“Apollo”), in its merger with DHL eCommerce (“DHL”), the e-commerce logistics specialist of DHL Group.
Represented Geotab Inc., a global leader in connected vehicle and asset solutions, in a joint venture with Vitality, the world’s largest behavioral change platform, to redefine commercial fleet management.
Represented Tenneco Inc., a portfolio company of funds managed by affiliates of Apollo Global Management, Inc., in its sale of Öhlins Racing to Brembo. Tenneco is a motor vehicle manufacturer of premium, high performance suspension technology.
Represented Wheels and Apollo Global Management in a minority investment from Marubeni Corporation and Lithia & Driveway. Wheels is a major fleet management company offering leasing, financing, maintenance, and support services for its fleet of more than 800,000 vehicles.
Represented Carlstar Group LLC (Carlstar) in its US$296 million acquisition by Titan International, Inc. (NYSE: TWI) (Titan). Carlstar is a global manufacturer and distributor of specialty tires and wheels for a variety of end-market verticals, including outdoor power equipment, power sports, trailers, and small to midsize agricultural and construction equipment.

Represented Ryde Group Ltd (NYSE American: RYDE) in its initial public offering and listing of its Class A ordinary shares on the NYSE American.
Represented Stonepeak in its acquisition of Fleet Companies (Fleet), a leading regional trailer dealership and leasing company.
Represented Geely Automobile Holdings Limited (HKEX: 175) (Geely Auto) on the distribution of American Depositary Shares of ZEEKR to Geely Auto’s qualifying shareholders pursuant to Practice Note 15 to the Hong Kong Listing Rules and Regulation S under the U.S. Securities Act, which is in connection with the spin-off listing of ZEEKR Intelligent Technology Holding Limited (NYSE: ZR) (ZEEKR) on the New York Stock Exchange.
Represented ACPS Automotive, a portfolio company of TowerBrook Capital Partners and Bridgepoint, on a successful debt refinancing provided by a club of lenders.
Guided Anthelion Capital Holdings through the acquisition of the Energy business unit, a provider of turnkey fleet-scale high-power charging solutions and software for commercial-grade electric vehicle fleets, of integrated electric bus and commercial vehicle power train manufacturer Proterra Inc. The acquisition was made pursuant to a Chapter 11 plan of reorganization confirmed on March 6, 2024 in the Chapter 11 bankruptcy cases of Proterra and its subsidiary in the United States Bankruptcy Court for the District of Delaware, and closed on March 13, 2024.
Representing Vehicle Accessories, Inc., a portfolio company of Kinderhook Industries, LLC, in its acquisition of Maxton Group, Inc., a designer and producer of automotive products and accessories to automotive original equipment manufacturers.
Represented Geely Automobile Holdings Limited (HKEX: 175) (Geely Auto) on the distribution of American Depositary Shares (ADSs) of ZEEKR to Geely Auto’s qualifying shareholders pursuant to Practice Note 15 to the Hong Kong Listing Rules and Regulation S under the U.S. Securities Act, which is in connection with the spin off listing of ZEEKR Intelligent Technology Holding Limited (NYSE: ZR) (ZEEKR) on the New York Stock Exchange. ZEEKR raised more than US$440 million in the transaction, making it the largest U.S. IPO of China concept stocks in the past three years.
Advised on the IPO of Changjiu Holdings Limited (HKEX: 6959) on the Main Board of the Hong Kong Stock Exchange (HKEX). The offering raised approximately HK$300.7 million. Sidley acted as Hong Kong legal counsel for the joint sponsors: CITIC Securities (Hong Kong) Limited and ICBC International Capital Limited Changjiu Holdings Limited is the largest pledged vehicle monitoring service provider in China’s automobile sales and distribution industry.
Sidley advised Faraday Future Intelligent Electric Inc. in connection with its purchase and simultaneous sale leaseback of its Hanford, CA, electric vehicle manufacturing facility.
Sidley represented Mapbox Inc., a location platform company, powering maps and navigation for major automotive OEMs, in its US$280 million Series E funding round.
Sidley is representing Accelera by Cummins, a business unit of Cummins Inc. [NYSE: CMI], in its joint venture with Daimler Truck, PACCAR, and Eve Energy Co., Ltd. to manufacture battery cells for electric commercial vehicles. The total expected investment is in the range of US$2 to US$3 billion for the factory.
Represented ChargePoint Holdings in its US$150 million senior secured revolving credit facility with JPMorgan Chase Bank, as administrative agent. JPMorgan Chase Bank and HSBC Ventures USA acted as joint lead arrangers and joint bookrunners for the credit facility.
Represented Faraday Future Intelligent Electric Inc. (Nasdaq: FFIE), in its new funding commitment of US$90 million plus the acceleration of an existing commitment of US$15 million.
Represented BMW Group, a lead investor along with Ford Motor Company and Volta Energy Technologies, in the $130 million Series B investment in Solid Power.
Represented Volkswagen AG in its its co-investment with Ford Motor Company in autonomous vehicle technology company, Argo AI, valuing Argo at US$7.1 billion.
Represented Fifth Wall as lead investor in the Series C funding round of Ascend Elements, a battery recycling startup that aims to revolutionize lithium-ion recycling through its cutting-edge technology.
Represented BMW i Ventures in its Series A investment in Ampeco.

Represented Faraday Future Intelligent Electric Inc. (NASDAQ: FFIE), a California-based global shared intelligent electric mobility ecosystem company, in its US$100 million unsecured convertible notes financing commitments.
Represented Faraday Future in its business combination with Property Solutions Acquisition Corp. (NASDAQ: PSAC), a special purpose acquisition company, in a transaction with an implied pro forma equity value of US$3.4 billion that included a US$775 million PIPE.
Represented Pilot Company in a three-party transaction among General Motors (GM), Pilot and EVgo to build out a national DC fast charging network that will help accelerate the widespread adoption of EVs, increase access to charging, and help enable long-distance electric travel of people and vehicles across the U.S. The collaboration is targeting the installation of charging stalls at approximately 50-mile intervals across the U.S.
Representing Magna International Inc. (TSX: MG; NYSE: MGA) (Magna) in its agreement to acquire the Veoneer Active Safety business from SSW Partners for US$1.525 billion in cash.
Representing Hennessy Capital Investment Corp. V, a publicly traded special purpose acquisition company, in its pending business combination with Plus (formerly Plus.ai), a global provider of self-driving truck technology.

As a result of this resolution, FF Top will dismiss its lawsuit against the company and its board of directors. Faraday Future concurrently announced the execution of two definitive agreements for new financing commitment of up to US$100 million total.

(NASDAQ: FFIE), a California-based global shared intelligent electric mobility ecosystem company, in its execution of a definitive agreement for a new financing facility. Under the facility framework for up to US$600 million of total funds, Faraday Future will receive an initial US$52 million of committed funds.
