Our Insurance practice offers extensive experience in a wide range of domestic and international insurance and reinsurance transactions, as well as related regulatory matters. Our experience includes the handling of traditional corporate and financing transactions for the insurance industry, such as mergers, acquisitions, divestitures, joint ventures, corporate reorganizations (including demutualizations and mutual holding company conversions), formation and capitalization of new insurance companies, public and private debt and equity financings and complex insurance company investment transactions. In addition, our lawyers have been at the forefront in structuring and handling many of the most novel and innovative transactions being conducted in the industry today, such as redundant life reserve (XXX and AXXX) and embedded value securitizations; catastrophe and catastrophic mortality-linked bonds and derivatives, sidecars and other forms of risk securitization/finance; and the securitization of various insurance products, including funding agreements and life and annuity contracts.
