INCIDENT PREPAREDNESS AND RESPONSE PLANS
- Assist multinational companies to develop incident response plans. Provide comprehensive cybersecurity overviews to identify potential risks and develop custom incident response plans accordingly.
- Prepare draft playbooks and other draft documents such as policies, standard operating procedures, individual notifications, and regulator notices, as well as legal assessments and reviews.
- Prepare (in person and virtually) board directors on fiduciary duties related to their organization’s privacy and cybersecurity best practices.
- Develop and conduct unique tabletop exercises (TTX) to help clients prepare for, and increase resiliency against, data breaches and pressure test incident response plans.

- Conduct internal cybersecurity and digital governance legal assessments and due diligence on behalf of boards and senior executives.

CYBERSECURITY IN FINANCIAL SERVICES — DATA PROTECTION, CONFIDENTIALITY, AND BANK SECRECY
- Counsel on the United States’ Fair Credit Reporting Act and the Fair and Accurate Credit Transactions Act (FACTA), the Gramm-Leach-Bliley Act, and the Right to Financial Privacy Act, as well as numerous other federal and state privacy, data security, and data breach statutes and regulations, including the DOJ’s Bulk Data Transfer Rule.
- Advise on cybersecurity obligations under EU and UK financial services laws, including the EU’s Market Abuse Regulation and UK’s Financial Conduct Authority Rules and Takeover Code.
PHARMACEUTICAL, HEALTHCARE, AND DIGITAL HEALTH AND WELLNESS
- Advise on cybersecurity requirements under the U.S. Health Insurance Portability and Accountability Act (HIPAA) and the Health Information Technology for Economic and Clinical Health (HITECH) Act, as well as state laws and regulations.
- Provide counsel on cybersecurity obligations under EU laws, including those applicable to clinical trials and UK’s National Health Service and EU data protection requirements for health information.
PUBLIC POLICY AND GOVERNMENT STRATEGIES
- Frequently work alongside the firm’s Government Strategies practice in navigating congressional investigations, legislative lobbying, regulatory policy guidance and formulation, and issue monitoring/due diligence.
- Engage with the FTC, Secret Service, DOJ, Department of Homeland Security, elements of the intelligence community and other departments and agencies, as well as state attorneys general and state regulators.
- Interact with the European Data Protection Board and data protection authorities in various EU Member States.
- Communicate with the UK’s ICO, the National Cybersecurity Centre, and the Serious Fraud Office.
We conduct privacy and cybersecurity diligence on hundreds of transactions every year relating to every conceivable industry, including financial services, healthcare and life sciences, tech, manufacturing, retail, e-commerce, and multiple other critical infrastructure sectors. We regularly support our M&A and private equity corporate colleagues representing buy-side financial sponsors or strategic corporate buyers. On the sell-side, we help target companies prepare and position themselves to respond to diligence requests. Our goal is always to help probe, identify, and mitigate our client’s potential risk and exposure related to privacy and cybersecurity compliance, prior data breaches, and governance of emerging and sensitive technologies like artificial intelligence (AI), biometrics, and health-related data. As part of this work, we evaluate the target company’s compliance with privacy and cybersecurity legal requirements and applicable industry standards. We also provide guidance for the client to address issues prior to and after closing of the deal with respect to longer-term privacy and cybersecurity compliance, remediation, and best practices.

Sidley represented Soho House & Co Inc. in its definitive agreements pursuant to which an investor group led by MCR, and its chairman and CEO Tyler Morse will acquire the outstanding shares of Soho House not held by certain significant shareholders. SHCO Executive Chairman Ron Burkle and the Yucaipa Companies LLC will roll their controlling equity interests in the Company and retain majority control of the business. Holders of common stock of the Company will receive US$9.00 per share in cash, a premium of approximately 83% over the closing stock price as of December 18, 2024, the last trading day prior to Soho House’s announcement of receipt of the offer. The offer implies a total enterprise value of approximately US$2.7 billion for SHCO.

June 3, 2025
Sidley is advising Life360, Inc. in its upsized offering of US$275 million aggregate principal amount of 0.00% convertible senior notes due 2030 in a private offering to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. The offering is expected to close on June 5, 2025, subject to market and other conditions. Life360 also granted the initial purchasers of the notes an option to purchase, for settlement within a period of 13 days from, and including, the date the notes are first issued, up to an additional US$45 million aggregate principal amount of notes. Life360 intends to use proceeds from the offering to fund the cost of entering into the capped call transactions. Life360 intends to use the remainder of the net proceeds from the offering for general corporate purposes, which may include acquisitions or strategic investments in complementary businesses, products, services, or technologies. If the initial purchasers exercise their option to purchase additional notes, then Life360 intends to use a portion of the additional net proceeds to fund the cost of entering into additional capped call transactions.

Sidley successfully led the Chapter 11 cases for Casa Systems, Inc., a telecommunications hardware and software company with approximately $183 million in funded debt and operations across more than 10 countries, which culminated with the fully consensual, uncontested confirmation of its Chapter 11 plan in the U.S. Bankruptcy Court for the District of Delaware. Casa Systems’ Chapter 11 cases were completed in 65 days and resulted in going-concern sales of the company’s 5G mobile core/RAN and cable businesses across multiple jurisdictions, a global settlement providing for recoveries to the company’s unsecured creditors, and the preservation of hundreds of jobs. A global cross-section of the Sidley team will continue to work with Casa Systems in connection with the orderly winddown of multiple international subsidiaries.

Sidley represented longstanding client Eldridge Industries as lead provider of equity and debt financing to Metropolis Technologies, Inc. for Metropolis’s take-private acquisition of SP Plus Corporation. Metropolis obtained total financing of approximately $1.8 billion for the acquisition of NASDAQ-listed SP+, with an enterprise value of approximately $1.5 billion. The acquisition was announced last October and closed on May 16. Metropolis financed the acquisition with $1.05 billion in Series C preferred stock and $550 million of term debt financing, each provided on a committed basis by Eldridge Industries and other institutions.
